1. Agreement to Terms
By accessing or using Freight Operating System ("FRAI," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use our services.
These Terms apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content. Your use of our services, including any integration with third-party services such as Microsoft Outlook, constitutes acceptance of these Terms.
2. Description of Service
Freight Operating System is a comprehensive freight management platform that provides:
- Freight forwarding and logistics management tools
- Carrier integration and rate management
- Compliance and documentation automation
- Third-party service integrations, including Microsoft Outlook email integration
- Quoting, scheduling, and workflow management
- Data analytics and reporting
We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice.
3. User Accounts and Registration
Account Creation
To access certain features of our services, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
Account Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services. By creating an account, you represent and warrant that you meet these requirements.
4. Third-Party Service Integrations
Microsoft Outlook Integration
Our platform offers integration with Microsoft Outlook to enhance your freight management workflow. By connecting your Outlook account to FRAI, you acknowledge and agree to the following:
- Authorization: You grant FRAI permission to access and use your Outlook account data, including emails, calendar entries, and contacts, solely for the purpose of providing our freight management services.
- Scope of Access: We will only access data necessary to provide the integrated services, such as reading emails related to freight operations, syncing calendar events, and managing contacts relevant to your freight business.
- Data Security: We implement industry-standard security measures to protect your Outlook data. However, you acknowledge that third-party integrations carry inherent risks, and you connect your Outlook account at your own discretion.
- Microsoft Terms: Your use of Outlook integration is also subject to Microsoft's Terms of Service and Privacy Policy. We are not responsible for Microsoft's handling of your data.
- Revocation: You may disconnect your Outlook account from FRAI at any time through your account settings. Upon disconnection, we will cease accessing your Outlook data, though we may retain previously accessed data as necessary for service continuity and legal compliance.
- Data Processing: We process your Outlook data in accordance with our Privacy Policy and applicable data protection laws. We do not share your Outlook credentials or data with unauthorized third parties.
Other Third-Party Integrations
Our platform may integrate with other third-party services. Your use of such integrations is subject to both these Terms and the terms of service of the respective third-party providers. We are not responsible for the availability, accuracy, or practices of third-party services.
5. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit any malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our services
- Use automated systems to access our services without authorization
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest information about other users without their consent
- Use our services for any illegal or unauthorized purpose
- Reverse engineer, decompile, or disassemble any part of our services
- Resell, sublicense, or otherwise commercialize our services without permission
6. Intellectual Property Rights
The service and its original content, features, and functionality are owned by FRAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any data, content, or information you submit, post, or display through our services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such User Content solely for the purpose of providing and improving our services.
You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
7. Payment Terms
Subscription Fees
Access to certain features of our services requires payment of subscription fees. By subscribing, you agree to pay all fees associated with your subscription plan.
- Fees are billed in advance on a monthly or annual basis, as selected
- All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement
- We reserve the right to change our pricing with 30 days' notice to existing subscribers
- Failure to pay may result in suspension or termination of your account
Automatic Renewal
Unless you cancel your subscription before the end of the billing period, your subscription will automatically renew. You authorize us to charge the applicable subscription fees to your payment method on file.
8. Data and Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information, including data accessed through third-party integrations like Outlook, is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.
9. Service Availability and Modifications
We strive to provide reliable and continuous service, but we do not guarantee that our services will be available at all times or free from errors, interruptions, or security breaches. We may:
- Perform scheduled maintenance that may temporarily interrupt service
- Modify, suspend, or discontinue features or services with or without notice
- Update our services to improve functionality, security, or compliance
- Limit access to services for users who violate these Terms
We are not liable for any loss or damage resulting from service interruptions, modifications, or discontinuations.
10. Disclaimers and Limitations of Liability
Service Disclaimer
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by law, FRAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- Your use or inability to use our services
- Any unauthorized access to or use of our servers or your account
- Any interruption or cessation of transmission to or from our services
- Any bugs, viruses, or other harmful code transmitted through our services
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content
- Third-party integrations, including Outlook, and any issues arising from such integrations
11. Indemnification
You agree to indemnify, defend, and hold harmless FRAI, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, your violation of any third-party rights, or your connection of third-party services (including Outlook) to our platform.
12. Termination
We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination:
- Your right to use the services will immediately cease
- We may delete your account and all associated data, subject to our data retention policies
- All third-party integrations, including Outlook, will be disconnected
- You remain responsible for any fees incurred prior to termination
You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of [Arbitration Organization], except where prohibited by law. You waive any right to a jury trial or to participate in a class action lawsuit.
